VBO Marketing is officially based in a run-down shopping center in Banja Luka, in the Republic of Srpska. But when a journalist from O\u0161tro\u2019s partner center in Bosnia and Herzegovina visited last year, he found no sign with the company\u2019s name, no mailbox and no traces of activity. This is typical of shell companies.<\/p>\n\n\n\n

Though it doesn\u2019t even have a mailbox at its Banja Luka headquarters, VBO Marketing presents itself online as a marketing agency, attracting customers with \u201ccinematic-quality video production equipment, including virtual reality technology\u201d. In fact, it has two websites, one of which is run by a US company that apparently doesn\u2019t exist.<\/p>\n\n\n\n

They also design websites and offer web hosting, but not for the websites of related Slovenian companies \u2013 Ustna Higiena VBO and Digitalno Zobozdravstvo VBO. These are hosted by a Slovenian provider and deal with the sale of toothbrushes, oral hygiene products and Invisalign \u2018invisible\u2019 braces.<\/p>\n\n\n\n

The owner or co-owner of all three companies, in Banja Luka and Slovenia, is Marko Kaloh, brother of independent MP Dejan Kaloh. On his behalf, the Banja Luka company was incorporated by Dijana \u0110u\u0111i\u0107 \u2013 the Bosnian entrepreneur who seven years ago lent Jan\u0161a\u2019s SDS party \u20ac450,000, though when the Court of Auditors intervened, the party returned the first instalment of the loan.<\/p>\n\n\n\n

Ms. \u0110u\u0111i\u0107 is the partner of the \u201cdoctor of tax evasion\u201d, tax expert Rok Sne\u017ei\u010d, former advisor to Prime Minister Janez Jan\u0161a during his last term in office.<\/p>\n\n\n\n

At the time of publication, it emerged that Marko Kaloh had already told Mr. Sne\u017ei\u010d to liquidate the company in May 2020, but despite his promises, Mr. Sne\u017ei\u010d has not done so to date. According to Mr. Kaloh, he now claims that the dissolution of the company, which allegedly never operated, is still pending in court. They stated that they did not set up the VBO Marketing websites, having first learned about them from O\u0161tro.<\/p>\n\n\n\n

Maribor, Banja Luka, Sne\u017ei\u010d<\/strong><\/h3>\n\n\n\n

On the day Marko Kaloh authorized Dijana \u0110u\u0111i\u0107 to register the company VBO Marketing in Banja Luka, March 11, 2020, Mr. Kaloh and his wife Vesna Kaloh were informing their customers at Digitalno Zobozdravstvo VBO (Digital Dentistry VBO) about measures to limit the spread of COVID-19 in a video posted on the company\u2019s Facebook profile.<\/p>\n\n\n\n

A day later, they announced they were temporarily closing their practice: \u201cDespite the truly incredible growth and business success we are seeing this year based on five years of hard work, the current moment requires different priorities. Today we are putting the health of our employees, our growing customer base, and ourselves first.\u201d<\/p>\n\n\n\n

According to notarial documents, Mr. Kaloh was on March 11, 2020, also visiting a notary in Banja Luka, who certified VBO Marketing\u2019s founding act and the signatures of the authorized person, i.e., Marko Kaloh, director and sole owner of the company. He authorized Ms. \u0110u\u0111i\u0107 to pay the founding capital of 1 Bosnian convertible mark, which she did five days later.<\/p>\n\n\n\n

If you paid any attention in school, you\u2019d know that company liquidations are handled by the courts and not by tax advisors.<\/p>\n<\/blockquote>\n\n\n\n

\u2014 Rok Sne\u017ei\u010d, responding to questions about the five years since the request for liquidation of Marko Kaloh\u2019s company in Banja Luka<\/p>\n\n\n\n

At that time, Marko Kaloh\u2019s temporary residence was for one month registered in the village Veri\u0107i, in the municipality of Banja Luka. According to the residence registration certificate, his landlord was Radoica \u0110u\u0111i\u0107, who, as our information shows, is the father of Dijana \u0110u\u0111i\u0107.<\/p>\n\n\n\n

In the document registering the temporary residence in the Banja Luka village, the name is spelled without a j, but according to local info it is in fact Mr. Radojica \u0110u\u0111i\u0107. Rok Sne\u017ei\u010d did not dispute this claim during our telephone conversation.<\/p>\n\n\n\n

We sent our questions to Dijana \u0110u\u0111i\u0107 at Mr. Sne\u017ei\u010d\u2019s company email address. He responded with a phone call during which he accused us of being interested in his sex life, among other, and with an email stating that \u201cMs. \u0110u\u0111i\u0107 is willing to offer legal advice for an upfront payment of \u20ac500\u201d.<\/p>\n\n\n\n

During the call he also made the claim that we were soliciting tax advice, because we asked Ms. \u0110u\u0111i\u0107 whether she often used her father\u2019s apartment in Veri\u0107i to register companies for foreigners, and whether Marko Kaloh had ever been to that village.<\/p>\n\n\n\n

Mr. Sne\u017ei\u010d denied that Ms. \u0110u\u0111i\u0107 was his partner, saying that she was his \u2013 girlfriend.<\/p>\n\n\n\n

He did not comment on journalists\u2019 email questions, stating in regard to the dissolution of the company: \u201cIf you paid any attention in school, you\u2019d know that company liquidations are handled by the courts and not by tax advisors. The ignorance of people who consider themselves journalists \ud83d\ude02\ud83d\ude02\ud83d\ude02\ud83d\ude02\u201d.<\/p>\n\n\n\n

He likewise did not respond to our request to send us the application he\u2019d filed with the court, as according to our information nothing had been filed yet. Nor did he respond to whether the information that he charges \u20ac4,500 to open a company and \u20ac1,500 to close one is true.<\/p>\n\n\n\n

Phantom websites<\/strong><\/h3>\n\n\n\n

VBO Marketing has two nearly identical websites in English. They practically differ only in the name of the company. One<\/a> states that the headquarters of VBO Marketing, d. o. o., is in Banja Luka, while the other<\/a> claims that the company is called VBO Marketing LLC and is based in Sharonville, Ohio, USA.<\/p>\n\n\n\n

However, no such company exists in the Ohio business register. The company\u2019s telephone number listed on the website does not begin with the area code for that state, but rather with that of the Bahamas tax haven. At the business address of VBO Marketing LLC in Ohio, a company named Davinci offers virtual office rental. The registration and tax numbers belonging to VBO Marketing in Banja Luka are also listed there.<\/p>\n\n\n\n

The Bahamian business registry has been down for several months, so it has not been possible to officially verify whether VBO Marketing LLC is actually registered in that country. Other business data registries, such as InfoClipper, do not show any company registered in the Bahamas with the acronym VBO in its name.<\/p>\n\n\n\n

Both websites mention Ismet Dedi\u0107 as the company\u2019s executive director. O\u0161tro identified a person with this name who lives not far from the alleged US address of VBO Marketing LLC, and a namesake in Slovenia who frequently participates in marathons.<\/p>\n\n\n\n

Neither of them responded to questions sent via Facebook Messenger.<\/p>\n\n\n\n

According to available data, VBO Marketing has not yet submitted its annual report to the Banja Luka registry, so it\u2019s not possible to independently verify whether and how it operates.<\/p>\n\n\n\n

\u201cI deeply regret my decision to open a company in Banja Luka and trusting Rok Sne\u017ei\u010d that Dijana \u0110u\u0111i\u0107 had taken care of everything, and that the liquidation process was underway.\u201d<\/p>\n<\/blockquote>\n\n\n\n

\u2014 Marko Kaloh on the (non)liquidation of VBO Marketing<\/p>\n\n\n\n

Marko Kaloh stated that the company never operated and did not have a bank account. He had established it when a braces manufacturer he represents looked to expand sales to Bosnia and Herzegovina, which then abruptly changed due to the COVID-19 pandemic. In May 2020, approximately two months after the incorporation of VBO Marketing, Mr. Kaloh sent a message to Rok Sne\u017ei\u010d that he wished to close the company, and requested that he inform Dijana \u0110u\u0111i\u0107 who was responsible for the liquidation.<\/p>\n\n\n\n

At that time, and at least ten times afterwards, Mr. Sne\u017ei\u010d allegedly assured Mr. Kaloh that the company was in the process of being deleted from the register. When he spoke to him recently, after receiving O\u0161tro\u2019s questions, Rok Sne\u017ei\u010d again assured him of the same thing, adding that the matter was stuck in court.<\/p>\n\n\n\n

However, when Mr. Kaloh independently verified this information, he discovered that the company was in fact not being dissolved by the Banja Luka court.<\/p>\n\n\n\n

\u201cToday, I authorized attorney Obradovi\u0107 to lead the liquidation proceedings. The company, which never had a transactions account and never operated, will be closed as soon as possible. I deeply regret my decision to open a company in Banja Luka and trusting Rok Sne\u017ei\u010d that Dijana \u0110u\u0111i\u0107 had taken care of everything, and that the liquidation process was underway.\u201d<\/p>\n\n\n\n

Regarding the websites, Mr. Kaloh claims he learned about them from O\u0161tro and that they are fraudulently abusing the VBO trademark. He thanked O\u0161tro for the warning and instructed his lawyer to respond and, if necessary, file criminal charges against the perpetrators.<\/p>\n\n\n\n

He has never heard of Ismet Dedi\u0107.<\/p>\n\n\n\n

Exclusive smiles<\/strong><\/h3>\n\n\n\n

While the Kalohs frequently post about their family life, travels and business ventures on the social media accounts of their company Digitalno Zobozdravstvo VBO, they didn\u2019t inform their followers about the opening of their new company, VBO Marketing, in Banja Luka in 2020.<\/p>\n\n\n\n

They did share their impressions from a business trip to Japan, the manufacturing country of the special toothbrushes with black silica bristles sold by the company Ustna Higiena VBO (Dental Hygiene VBO) under the name VBO premium. In its promotional material, VBO claims that the toothbrush was developed by Mr. Kaloh\u2019s wife Vesna in collaboration with Kanagawa Dental University in Japan, and that a study by this university has proven that such a toothbrush removes plaque up to 40 percent more effectively than a regular toothbrush.<\/p>\n\n\n\n

They are actually referring to the \u201cReport on the effects of toothbrushes with black silica filaments\u201d published by the aforementioned dental university in February 2020, evaluating the effects of the Wakka toothbrush manufactured by the Japanese company Shinyei Kaisha. Six volunteers participated in the two-day test, brushing their teeth for nine minutes at a time without toothpaste. They found that the Wakka toothbrush cleans plaque more effectively than a regular toothbrush.<\/p>\n\n\n
